Core Legal Ratio Decidendi

"Non-stamping is a curable fiscal deficiency that does not invalidate the arbitration agreement; under Section 11, the referral court examines only the prima facie existence of the arbitration clause, leaving impounding and stamping to the arbitral tribunal."

I
Step 1

Issues Before the Court

  1. (i)

Whether an arbitration agreement contained in an unstamped or insufficiently stamped underlying commercial contract is void ab initio, inoperative, or unenforceable under Section 11 of the Arbitration Act?

  2. (ii)

Whether the referral court under Section 11 is required to impound the unstamped contract or leave the fiscal defect of non-stamping to be determined by the arbitral tribunal under Section 16?

R
Step 2

Law & Rules Applicable

  1. (i)

Arbitration and Conciliation Act, 1996, Section 11(6A), Section 16 (Kompetenz-Kompetenz).

  2. (ii)

Indian Stamp Act, 1899, Section 33 & Section 35 (Instruments not duly stamped inadmissible in evidence).

  3. (iii)

Doctrine of Separability / Autonomy of the Arbitration Clause.

  4. (iv)

Overruled: N.N. Global Mercantile (P) Ltd. v. Indo Unique Flame Ltd. (five-judge Bench).

A
Step 3

Application to Facts & Circumstances

A 5-judge bench in N.N. Global (2023) previously held by a 3:2 majority that an unstamped contract cannot be acted upon, rendering the arbitration clause non-existent until stamping was cured.

A unanimous 7-judge bench reversed this approach to bring India in line with global pro-arbitration standards.

The Chief Justice drew a crucial conceptual distinction between 'inadmissibility' and 'voidness'. Non-stamping is a curable fiscal defect under the Stamp Act; it does not render the contract void ab initio.

Under the Doctrine of Separability (Section 16), the arbitration clause is an independent agreement from the underlying contract. The referral court under Section 11(6A) is confined solely to examining the 'existence' of the arbitration agreement.

The issue of whether the underlying contract is properly stamped must be decided by the arbitral tribunal under the Kompetenz-Kompetenz principle, rather than stalling the appointment at the threshold.

C
Step 4

Conclusion & Ruling

  1. (i)

Agreements which are unstamped or insufficiently stamped are not void ab initio; they are merely inadmissible in evidence until stamped.

  2. (ii)

Objections pertaining to non-stamping fall squarely within the jurisdiction of the arbitral tribunal under Section 16 and cannot be used to derail Section 11 referrals.

  3. (iii)

N.N. Global (2023) and SMS Tea Estates were expressly overruled.
